Most software disputes start with a clause nobody read closely.

A software development agreement decides who owns the code, when the work counts as finished, what a change costs and who pays when something breaks. Nearly every dispute we are asked about traces back to one of those four answers. Paying for code does not make you its owner, and delivering code does not entitle the developer to payment unless the acceptance test says so. A software development contract lawyer puts those answers in writing before the first line of code, when agreeing to them costs nothing.

My Legal Pal handles software development agreement drafting and software development contract review for both sides of the deal, for projects in the US, UK, EU, India, UAE, Singapore, Australia, Canada and elsewhere. The agreement is written for the governing law you choose, and the points that change from country to country are set out below. If you only need a format to start from, our software development agreement template and clause guide is the right page. This page is for when you want an advocate to write, review or negotiate the agreement for your project.

We act for the client or the developer.

Each side needs different protection from the same document.

    Companies commissioning software

You are paying for a product you will build a business on. We make sure the agreement assigns the code to you, defines what finished means, controls what a change costs and gives you a clean way out if the project fails.

    Developers, agencies and freelancers

You want to be paid on time, keep your reusable tools and cap your exposure. We draft and negotiate for the vendor too: a carve-out for your pre-existing code, objective acceptance tests and a sensible liability cap.

Startups heading into a funding round

Investors ask who owns the code. If freelancers or agencies built your product without a signed assignment, we find the gap and fix it before diligence. See the contract clauses that cut a startup’s valuation.

What we draft, review and negotiate.

Eight documents and services, all for custom software projects.

    Software development agreements

Fixed-price, time-and-materials and milestone-based agreements, with the statement of work, acceptance criteria and change-order schedule attached. Start with the structure that suits your project, not a generic form.

    Software development contract review

Send us the agreement you were handed. We mark up the clauses that put you at risk and explain each change. See contract review and revision.

    Software outsourcing agreements

Agreements with an outside team or vendor, with an onshore, nearshore or offshore vendor, covering key personnel, subcontracting, security and exit. See master service agreements.

    Software development and maintenance agreements

One document for the build and the support that follows, or a development agreement with a separate maintenance schedule. See service agreement drafting.

    IP assignment and confidentiality

A signed assignment that names the code, the rights, the duration and the territory, plus confidentiality terms. See the IP assignment guide and NDA drafting.

    AI-assisted development terms

Clauses on the use of AI coding tools: disclosure, training on your code, and ownership of what the tools produce. See who owns a vibe-coded app.

    Data protection terms

If the developer will touch personal data in testing or production, we add the data terms to match. See data processing agreement drafting.

    Negotiation for either side

We take the other party’s draft, mark the points that matter and negotiate them with you. See contract negotiation.

Eight clauses where software development disputes begin.

These are the points we spend the most time on, whichever side you are on.

    When ownership passes

Rights can move to the client when the code is written, or when it is paid for. Assigning on creation leaves a developer with unpaid work they no longer own. Assigning only at final payment leaves the client exposed if the developer disappears. A common fix is assignment on payment of each milestone, with a licence to use the work in the meantime.

    The developer’s own code

Frameworks and libraries the developer owned before the project stay theirs and are licensed to you. If your product depends on them, you need a perpetual licence that survives termination and passes to a buyer of your company. Without one, a vendor library is a dependency you do not own.

    Acceptance

“Approved by the client” invites an argument. We write objective tests: written acceptance criteria, a fixed testing period, and deemed acceptance if the client stays silent. That protects the client from poor work and the developer from a client who will not pay.

    Bugs and change requests

A bug is a failure against the agreed specification and is fixed at no charge. A change is something new and is priced. The agreement must say where the line sits, how long the free-fix period runs and who decides in a disagreement.

    Subcontractors and offshore teams

The vendor stays responsible for work done by anyone it hires. Confidentiality and IP assignment must flow down to each subcontractor in writing, and the client should approve named subcontractors in advance.

    Open-source components

Copyleft licences such as the GPL and AGPL can require you to release your own code. The agreement should require a list of open-source components and bar licences you cannot accept.

    Code written with AI tools

Require the developer to disclose AI coding tools, bar tools that train on your code, and warrant that the output does not copy third-party code. Treat ownership of purely machine-generated code as uncertain: no Indian statute or court ruling settles it, and the US Copyright Office requires human authorship.

    Liability and exit

A cap tied to fees paid is usual, with IP infringement and confidentiality breaches carved out. For exit, the client needs the source code, documentation and transition help, and escrow for systems the business cannot run without. See limitation of liability and indemnity clauses.

Software development contract review: what you get back.

Send us the draft the other side wants you to sign, and tell us whether you are the client or the developer. A software development contract lawyer on our team reads it line by line and returns three things: a short list of issues ranked by how much they could cost you, a marked-up contract with suggested wording for each, and a call to walk through the changes. We say plainly which terms are worth pushing on and which you can concede, because a review that flags everything helps nobody.

If the other side has sent a vendor template, expect it to favour the vendor. If you sent the template, expect the developer’s lawyer to push on ownership and liability. Either way, we can handle the exchange of drafts for you through our contract negotiation service.

What changes from country to country.

Six points where an agreement written for one country falls short in another.

    Governing law fills the gaps

Whatever the contract leaves out, the governing law supplies: who owns the code, what warranties are implied, and how far a liability cap will hold. In England, for example, the Unfair Contract Terms Act 1977 tests some exclusions for reasonableness. In the EU, a member state’s national law applies, and Rome I decides which one. We choose and draft for the law that suits the parties, not the law of the template.

    Assignment formalities

Most systems want the transfer of code in writing and signed. US law requires a signed writing under 17 U.S.C. section 204(a), English law requires one under section 90(3) of the Copyright, Designs and Patents Act 1988, and India’s Copyright Act, 1957 adds that the assignment state the rights, duration and territory. Defaults differ by country, and the software development agreement guide sets them out.

    Restraints on the developer

A clause stopping the developer working for your competitors after the project ends is void in California and generally void in India under Section 27 of the Indian Contract Act. English courts enforce a restraint only if it is reasonable. In every country, confidentiality, IP assignment and exclusivity during the project do more work than a post-project non-compete.

    Delay and penalty clauses

A fixed sum per week of delay is tested differently in each system. US courts refuse penalties and enforce genuine estimates of loss. English courts ask whether the sum protects a legitimate interest and is not out of all proportion. In India, Section 74 of the Contract Act gives reasonable compensation up to the named sum. Draft the delay clause for the court that will read it.

    Personal data

A developer with access to production data is handling personal data under the GDPR in the EU, the UK GDPR, California’s privacy law or India’s Digital Personal Data Protection Act, 2023, depending on whose data it is. The agreement should say who decides how the data is used and who answers for security. See data processing agreement drafting.

    Enforcement across borders

An arbitral award is enforceable in most countries under the New York Convention. A court judgment often is not: a US judgment, for example, cannot be executed directly in India. For cross-border projects we usually recommend arbitration with a named seat. See arbitration versus litigation in cross-border contracts.

    Software development agreements by jurisdiction.

Pick the country whose law will govern, or whose company you are.

Agreements governed by US state law, from Delaware to California.

    Agreements governed by English law.

National law plus GDPR, with Rome I choosing the law.

Agreements for UAE companies and free-zone entities.

English common law, with Singapore as an arbitration seat.

Provincial law, with a different position in Quebec.

Agreements for Australian companies and developers.

Indian-law agreements, and India-based vendors for foreign clients.

Outsourcing and maintenance need their own terms.

    Software outsourcing agreements

A software outsourcing agreement is a development agreement plus the terms of a long relationship. It names the key people and what happens if they leave, limits and approves subcontracting, sets security and access rules for your systems, and plans the exit before the work begins. When the vendor is in another country, enforcement matters more than the governing law. A clause you cannot enforce against a vendor abroad protects nobody, so we draft with the vendor’s location in mind. See our technology law services for the wider picture.

    Software development and maintenance agreements

A software development and maintenance agreement can be a single document with a build phase and a support phase, or a development agreement with a separate maintenance schedule. The support terms are where projects sour: what counts as support, response and fix times, third-party updates, hosting, fees and renewal, and who holds the code when the support term ends. For response times and service credits, see our guide to service level agreements. If the software is sold as a subscription, you want a SaaS agreement as well.

    How it works.

Four steps, all online, with a fixed fee. Clients in any country.

    1. Tell us about the project

Whether you are the client or the developer, what is being built, the value and timeline, and any draft already on the table. A short form or a WhatsApp message is enough.

    2. We scope and quote

You get a clear recommendation on the structure and a fixed quote within 2 hours. No hourly billing.

    3. We draft or review

An advocate drafts the agreement or marks up the one you have, with a plain-language note on the points that matter.

    4. Revise and sign

You get revisions until the agreement fits the deal. Most agreements are ready in 2 to 4 days. We also tell you what needs stamping, notarising or witnessing in the governing country, and how to sign.

Frequently asked questions about software development agreements

What does a software development agreement lawyer do?
A software development agreement lawyer drafts the contract for a software project, reviews one you have been sent, and negotiates the terms. The work centres on ownership of the code, acceptance, change requests, warranties, liability and what happens when the relationship ends.
Who owns the code in a software development project?
Unless a signed agreement says otherwise, the person who wrote the code usually owns it, not the person who paid. In most countries the assignment must be in writing and signed, and some, such as India, also require it to state the rights, the duration and the territory. See the IP assignment guide.
Do you act for the client or the developer?
Either, but never both in the same project. A client needs ownership, acceptance and exit rights. A developer needs payment protection, a carve-out for reusable code and a liability cap. We tell you at the start which side we are on.
How does software development contract review work?
You send the draft and tell us your role. We return an issue list ranked by risk, a marked-up agreement with suggested wording, and a call to explain the changes. The fee is fixed and quoted within 2 hours.
Should the contract be fixed-price or time-and-materials?
Fixed-price suits a project with a clear specification, and it needs a strict change-order process. Time-and-materials suits work that will change as it goes, and it needs a budget cap or approval points. Milestone payments tied to acceptance work with both.
Do I need separate development and maintenance agreements?
Not always. One agreement with a build phase and a support phase works for small projects. A separate maintenance agreement is cleaner when support will run for years, change hands or be priced separately. We recommend the structure after hearing about the project.
What should a software outsourcing agreement cover?
Scope, key personnel, subcontracting, security and access to your systems, IP assignment, acceptance, service levels, data protection, enforcement and exit. When the vendor is abroad, we draft with enforcement in mind, usually through arbitration with a named seat.
Can we use open-source and AI-generated code?
Yes, with controls. Require a list of open-source components and bar licences that would force you to release your own code. For AI tools, require disclosure, bar tools that train on your code and treat ownership of machine-generated code as uncertain.
Can I use a free template instead?
A template is a fair starting point for a small, low-risk project. Our software development agreement template explains the clauses. Once the project matters to your business, have an advocate fit the agreement to your deal.
Which law can the agreement be governed by?
The law you choose, usually the law of the client’s or the developer’s country. We draft for US, UK, EU, Singapore, UAE, Canada, Australia and Indian law, and we are an international team of advocates, not a local law firm in each country. If you need an appearance in a foreign court or a formal opinion on that country’s statute, we say so at the start and work with local counsel. See contract lawyers in the USA and contract lawyers in London.
How long does it take, and what does it cost?
You get a fixed fee within 2 hours of sending the details. Most agreements are ready in 2 to 4 days. A large or multi-party project takes longer, and we confirm the timeline in the quote.
