Why a Gurugram tech company needs advice built around Gurugram.

In practice, three things change. Your biggest customers are often the Indian arms of global companies or large enterprises with their own legal templates. Your people come from, and go to, a dense cluster of other technology employers within a few kilometres. And your company sits in Haryana while much of your market, your investors and your courts and arbitrators are in Delhi.

If you want the general picture of IP, SaaS contracts, AI and data compliance and founder agreements for tech companies anywhere in India, visit our page on technology lawyers for tech startups, SaaS and AI platforms.

The Gurugram technology landscape, and what it means legally.

Tech activity in Gurugram clusters in a few well-known business districts. The kind of company in each cluster tends to face a different legal pressure.

Cyber City, Golf Course Road and Golf Course Extension Road

Large offices, captive technology and shared-service centres of global companies, and enterprise-facing software and services businesses. If you sell here, you are usually selling into a procurement and security review process. The legal work is the master services agreement, the security and data schedules, and the approvals that come with them.

    Udyog Vihar and Sohna Road

A mix of product companies, IT and digital services firms, and fast-growing startups. The legal pressure is typically on hiring at pace, contractor and freelancer use, and getting IP assigned cleanly while the team is still small.

    Manesar and the industrial belt

Hardware, mobility, electronics and industrial technology companies. Here technology contracts sit alongside supply and manufacturing agreements, and IP ownership between a product company and its contract manufacturers needs careful drafting.

These are descriptions of the kinds of work we see across the region, not a list of clients. We do not name clients on this page.

Six legal problems we see in Gurugram tech companies

Specific to the way tech businesses operate here.

Selling to enterprise and global-parent customers

The customer’s paper arrives with unlimited liability, broad audit rights, long security schedules and a governing law of their choice. We review it against your product, negotiate the points that matter, and build a short playbook so your sales team stops waiting weeks on legal for every deal.

The same talent pool, the same competitors

When people move between neighbouring tech employers, the risk is two-way: your IP walking out, and someone else’s confidential material walking in. We set up clean employee and contractor IP assignment, confidentiality terms, and onboarding checks. See our employment agreement in India page.

Haryana set-up on top of the company

A Gurugram company deals with the Registrar of Companies for Delhi and Haryana, and with Haryana state registrations and labour-related compliances that differ from Delhi and Uttar Pradesh. We help you decide where the registered office should sit and what the state-level checklist looks like. For incorporation as such, see our company registration in India service.

    Global parents and Indian subsidiaries

Many Gurugram teams are the India arm of a foreign company, or an Indian company with a foreign parent or investor. The documents that matter are the intercompany services or licence agreement, IP assignment into the right entity, and clear data-sharing terms between group companies.

    Courts and arbitration seat determination

Contracts signed in Gurugram frequently name Delhi courts or a Delhi arbitration seat. A dispute clause that differs from document to document is a recurring source of avoidable trouble. We standardise it and make sure it works with the rest of your contract.

    Investor diligence

Investors will ask for cap table, IP assignment, key contracts and data practices. Companies that fix paperwork before the first term sheet raise faster. See our founders agreement guide and the shareholders agreement drafting service.

Haryana, Delhi or Uttar Pradesh: what changes when you are in Gurugram.

Many founders in the National Capital Region move between Gurugram, Delhi and Noida in a single day, so it is easy to assume the rules are the same. They are not. A few points that depend on which state your company is in:

    • Registrar of Companies. A registered office in Haryana falls under the Registrar of Companies for Delhi and Haryana.
    • Tribunal bench. Company-law applications go to the National Company Law Tribunal bench that covers the registered office state.
    • State registrations and labour compliances. Shops and establishments rules, labour welfare contributions and similar requirements are set by the state, so a Haryana office has its own checklist.
    • Stamp duty and registration. Stamp duty on agreements and on leases is a state matter, and the rate and process in Haryana differ from Delhi and Uttar Pradesh.
    • Courts and arbitration. Choosing between Gurugram courts, Delhi courts and an arbitration seat is a drafting decision, and we make it deliberately.

The rules and rates change, so we check the current position for your facts at the time of engagement and do not rely on a fixed table. If you are deciding between registering in Haryana or elsewhere, ask us before you file.

How we help Gurugram tech teams

Our solution, in six pieces of work.

Enterprise and GCC contract review and negotiation

We review and negotiate customer, reseller and partner contracts and build a fallback playbook your sales team can use. See contract drafting and SaaS company lawyer.

Vendor onboarding and security questionnaire support

We answer the legal side of vendor onboarding for global parents and enterprises, and align your answers with your contracts and privacy practices. For data-law depth, see our data protection lawyer in India page.

    Employee, contractor and IP paperwork

IP assignment, confidentiality, contractor agreements and onboarding steps for teams that are hiring quickly. For ESOPs, see our ESOP guide.

    Brand and product name protection

Registering the name and logo of your company and product. Our trademark registration in Gurugram page covers that service.

    Fundraising-ready paperwork

Founder, shareholder and investor-facing documents tidied before diligence, so your first conversations with funds run faster.

    Ongoing outside counsel

A monthly arrangement for companies that want a lawyer on call. See legal retainership in India.

Patterns we see in Gurugram tech work.

These are composites that illustrate typical situations. They are not descriptions of specific clients or cases.

A product company with its first large enterprise customer

The customer sends a long contract with a liability clause far above anything the company can bear. The usual outcome after review is a negotiated cap tied to fees paid, narrower indemnities, and a security schedule that matches what the company already does. The company also keeps a short fallback playbook for the next customer.

A fast-growing team with no IP assignment on file

The team hired employees and freelancers over two years on offer letters that said little about IP. Before a funding round, the fix is to paper the assignment properly, confirm authorship for core code, and add standard terms for every new joiner.

An India team of a foreign company

The team has been running on an informal arrangement with the parent. The fix is a written intercompany agreement, IP assigned to the right entity, and an employee data-sharing arrangement that both sides can defend.

An advocate-led team, available to Gurugram companies.

My Legal Pal’s technology work is led by Prakhar Rai, who has more than ten years of experience advising startups and companies on corporate, intellectual property, technology and regulatory matters. We work with Gurugram companies online and by call, so you get senior attention without the overhead of a large firm.

Enrolled advocates with right of audience

If a contract dispute or a notice ever needs a lawyer in court, the person who drafted your paperwork can stand behind it.

    Fixed-fee scoping

We give you a written scope and fee before work starts, so there are no surprises when a deal is on the line.

    Documents and advice that match

The advocate advising you also drafts the documents, so what we say and what you sign are the same thing.

    How an engagement works

A short call to understand the business, a written scope and fee, and then the work. For a customer contract, bring the draft and your deadline. For hiring paperwork, bring your current offer letter and contractor template. For a new Gurugram entity, bring the structure you are considering and where your people will sit.

This page is general information and is not legal advice. An advocate-client relationship starts only when we confirm an engagement in writing.

    Questions Gurugram tech founders ask

Do I need a lawyer based in Gurugram for my tech company?
Not to be based here, but you do need advice that understands how Gurugram companies actually operate: Haryana as the state of the registered office, the Delhi and Haryana registry, enterprise and global-parent customers on your doorstep, and courts and arbitration seats in Delhi and Gurugram that your contracts will name. We work with Gurugram teams online and by call, which keeps fees predictable and turnaround quick.
Which registrar and tribunal apply if my registered office is in Gurugram?
A company with its registered office in Haryana files with the Registrar of Companies for Delhi and Haryana, and company-law matters before the National Company Law Tribunal fall to the bench that covers the registered office state. Where your registered office sits therefore matters beyond your address. Confirm the current bench jurisdiction with us before you pick or change a registered office.
Our biggest customer is the Indian arm of a global company. What changes in the contract?
Plenty. Their paper usually comes with their own liability caps, audit rights, security schedules, data processing terms and a governing law that suits them. Our job is to read their template against what your product really does, push back where it matters, and keep your IP and your ability to reuse what you build. The commercial point is that you are negotiating against a procurement and legal team that does this every week.
Should our contracts name Gurugram courts, Delhi courts or arbitration?
It depends on who your counterparty is, where your assets and people sit, and how fast you want a decision. Many NCR tech contracts use arbitration with a seat in Delhi to avoid arguments over which court has jurisdiction. We help you choose a clause you can actually enforce, and make sure it is the same clause in every document you sign.
We hire people who have worked at other NCR tech employers. What should we watch for?
Two things. First, the new hire’s old confidentiality and IP obligations, so you do not receive someone else’s code or customer lists. Second, your own paperwork: a clear IP assignment, confidentiality terms, notice and reasonable post-employment restrictions. Post-employment non-compete clauses are generally hard to enforce in India, so the stronger protection is usually IP assignment and confidentiality that are drafted properly.
Can you act as our outside counsel on a monthly basis?
Yes. Many Gurugram tech companies prefer a defined monthly arrangement over paying per query. See our legal retainership in India page for how that works.
We are a foreign company opening a team in Gurugram. Where do we start?
Usually with the entity and the people: whether to set up a subsidiary, how the intercompany services or licence agreement is structured, how employees will assign IP to the right entity, and which Haryana registrations apply. Each of these has a tax and regulatory side, so we coordinate with your accountants and tax advisers on what falls outside legal advice.
